Bloom Master Terms and Conditions

1. Introduction and Acceptance of Terms
Welcome to Bloom! These Master Terms and Conditions ("Terms") govern your access to and use of the Bloom Insider website, mobile application, and related services (collectively, the "Platform"), operated by Eucka Co. LLC ("we," "us," or "our"). By registering an account, purchasing a membership, or participating in any Bloom Auction, Giveaway, or promotion, you agree to be bound by these Terms in their entirety.
2. Definitions

Account: A registered user profile on the Bloom Platform.

Bloom Points: The virtual, non-fiat promotional currency used exclusively within the Platform.

Auction: Any gamified promotional event where members use Bloom Points to compete for rewards.

Member: Any individual who has successfully registered a valid Account.

Reward: Any prize, gift card, physical merchandise, or experience won through the Platform.
3. Eligibility and Account Registration
You must be at least 18 years of age (or the age of majority in your jurisdiction) to create an Account. You agree to provide accurate, current, and complete information during registration. You may only hold one Account. Duplicate accounts will result in immediate termination and forfeiture of all Bloom Points and pending Rewards.
4. Membership
Bloom offers three membership levels, each with access to different prize opportunities and exclusive member benefits. Higher membership levels may receive access to selected member-exclusive auctions or promotions when announced.
Bloom Insider (Always Free)
Join Bloom Insider free for life and enjoy access to Bloom Points, eligible auctions, member challenges, exclusive offers, and monthly prize opportunities. Perfect for members who want to discover Bloom and start earning rewards.
Bloom Insider VIP ($49.00 / Monthly)
Upgrade to VIP and unlock everything included with Bloom Insider, plus weekly prize opportunities, bonus Bloom Points, enhanced member rewards, exclusive promotions, VIP-only experiences, and access to selected VIP auctions and offers. More opportunities. More rewards. More experiences.
Bloom Insider Black Diamond ($99.00 / Monthly)
Our premium membership includes everything in Bloom Insider VIP, plus daily prize opportunities, our highest point bonuses, premium member rewards, exclusive Black Diamond promotions, priority access to experiences, luxury giveaways, and access to selected Black Diamond-exclusive auctions and offers. The ultimate Bloom membership.
Disclaimer of Guarantee: Participation in any auction, giveaway, challenge, or promotion does not guarantee winning. Complete rules and eligibility requirements will always be displayed for each individual promotion.
5. Subscription Billing, Renewals, and Cancellation

Billing: Paid memberships (VIP and Black Diamond) are billed automatically on a recurring monthly basis to your authorized payment method.

Taxes and Fees: Subscription prices are exclusive of applicable taxes, which will be calculated at checkout based on your location.

Cancellation: You may cancel your subscription at any time through your Account settings. Cancellations take effect at the end of the current billing cycle. No partial refunds are provided.

Payment Authorization: By providing payment information, you authorize Eucka Co. LLC and our third-party payment processors to charge all applicable fees.
6. Bloom Points Program

Bloom Points are digital promotional tokens. They are not real money, hold no cash value, and cannot be exchanged, withdrawn, or transferred outside of the Platform.

Acquisition: Points are acquired through memberships, missions, promotional events, or bonus awards.

Deduction: Points are deducted based on the specific rules of the Auction you enter.

Forfeiture: We reserve the right to expire inactive Bloom Points after 12 consecutive months of account inactivity, or immediately upon account suspension for fraud.
7. Bloom Auctions – Official Rules
Every Bloom Auction is unique. The specific rules, entry requirements, and winner selection methods will be clearly displayed on the individual Auction page prior to entry.
General Auction Rules:

One bid per Member per Auction, unless otherwise explicitly stated.

Bids cannot be changed or withdrawn once submitted.

Members must possess sufficient Bloom Points to enter.
Point Deduction Rules:

Winner Pays: Only the winning Member’s points are deducted.

All Bids Count: Points are deducted upon entry for all participants.

Free Entry: No points are required.
Winner Selection Methods:
Auctions will utilize one of our published mechanics, which include but are not limited to: Highest Bid Wins, Closest Bid Wins, Closest Without Going Over, Exact Match, Lowest Unique Bid, Average Bid, Lucky Draw, and First/Last Bid Wins.
8. Giveaways and Promotions
From time to time, Bloom may offer sweepstakes, random drawings, or giveaways separate from Auctions. These will be governed by specific Official Rules published at the time of the event. No purchase is strictly necessary where prohibited by law, and Alternative Methods of Entry (AMOE) will be provided where legally required.
9. Specialized Programs

Scan & Pass Challenge / Receipt Verification: Members may earn rewards by submitting valid, unaltered purchase receipts. Fraudulent or edited receipts will result in immediate Account termination.

Ambassador & Affiliate Programs: Members participating in referral programs must disclose their affiliate relationship in compliance with applicable advertising laws. Commissions and bonuses are subject to the specific terms of the respective program.

Verified Member Program: Bloom may require identity verification (e.g., government ID) to claim high-value prizes.
10. Winner Verification and Prize Claims
Winners will be notified via their Account dashboard, email, or SMS.

Prizes must be claimed within the published timeframe (typically 72 hours of notification unless otherwise stated).

Unclaimed prizes will be forfeited and may be awarded to an alternate winner.

Bloom reserves the right to substitute any prize for one of equal or greater value due to unavailability.
11. Prohibited Conduct and Fraud Prevention
To maintain a fair ecosystem, the following actions are strictly prohibited:

Using bots, scripts, or automated software to place bids.

Creating multiple accounts to bypass entry limits.
-
Colluding with other Members to manipulate Auction outcomes.

Exploiting platform glitches or manipulating Bloom Points.
Violations will result in immediate Account suspension, forfeiture of Points and Rewards, and potential legal action.
12. User-Generated Content and Community Standards
If you participate in forums, comments, or upload content to Bloom, you grant us a non-exclusive, royalty-free, worldwide license to use, display, and distribute that content. You agree not to post material that is offensive, illegal, defamatory, or infringes on third-party intellectual property rights.
13. Intellectual Property
All content, designs, trademarks, software, and intellectual property on the Platform are owned by Eucka Co. LLC. You may not copy, modify, or distribute any part of our Platform without express written consent.
14. Third-Party Services and Partner Offers
Bloom may feature offers from third-party restaurants, hotels, or brands. We are not responsible for the fulfillment, quality, or liability of goods and services provided by third parties.
15. Disclaimer of Warranties
The Platform and all Rewards are provided on an "AS IS" and "AS AVAILABLE" basis. Eucka Co. LLC disclaims all warranties, express or implied, including merchantability and fitness for a particular purpose. We do not guarantee that the Platform will be error-free or uninterrupted.
16. Limitation of Liability
To the maximum extent permitted by law, Eucka Co. LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of the Platform, your participation in any Auction, or your acceptance/use of any Reward.
17. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Province of Alberta, Canada, without regard to its conflict of law principles. Any dispute arising out of these Terms shall be resolved through binding arbitration in Calgary, Alberta, rather than in court, except that either party may assert claims in small claims court if they qualify.
18. Changes to the Terms
We reserve the right to modify these Terms at any time. Significant changes will be communicated via email or platform notification. Continued use of the Platform after changes constitute your acceptance of the revised Terms.
19. Severability and Entire Agreement
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. These Terms, along with any auction-specific rules, promotional rules, and our Privacy Policy, constitute the entire agreement between you and Eucka Co. LLC regarding your use of the Bloom platform.
